Investment, Trade, and Industry (ITI) handles varied corporate business matters. Details for our legal services are as follow:

We represent various clients in their direct or indirect (through stock exchanges) investment in Indonesia and other countries. In this area, our legal services include structuring investment plan for the purpose of establishing their presence in Indonesia; setting up joint venture arrangement including negotiation with partners or shareholders; starting and implementing the operation of the business including general corporate activities, corporate governance compliance and licensing; expanding business within and outside Indonesia; restructuring group of companies; assisting in financing transactions including project financing related to the investment either in conventional or sharia principle, involving single or syndication lenders.
Our legal services include but not limited to trade licensing procedures, trade legal advice, trade dispute, manufacture, supply and sale, and other related trade policy matters. Our Senior Partner contributed for the Indonesian government in dealing on Indonesia-EFTA CEPA, Indonesia-Australia CEPA, Indonesia-EU CEPA, as well as Trans-Pacific Partnership (TPP), as Head of Permanent Committee on Free Trade Agreements representing the Indonesian Chamber of Commerce (KADIN) and Indonesia Employer Association (APINDO). In such contribution, we are actively involved in providing inputs from the legal perspective and recommendations from related business sectors for Indonesian negotiators.
We represent many of the world's leading manufacturing and industrial companies which are involved in a wide range of sectors, such as equipment manufacturing, automotive, high-technology production and filtration. We assisted our clients in both industrial issues and developments related to business agreements and negotiations, industrial regulations, free trade zones, industrial estates, special economic zones, bonded zones and other related aspects. To support us in providing these services, we have acquaintance with Industrial Estates Association (Himpunan Kawasan Industri), National Board of Special Economic Zone (Dewan Nasional Kawasan Ekonomi Khusus) led by the Coordination Minister of Economy, the Secretary Cabinet Ministry, Ministry of Industry and Ministry of Tourism and Economy Creative. We are actively involved in any dissemination and business meeting forum held by the aforementioned association as well as other international chambers of commerce and associations which benefit us in assisting the client to pursue their needs. Notwithstanding the above, we have also been delivering our legal services in various business fields, including but not limited to fields of education, health care (including hospital and pharmaceutical), tourism and hospitality, plantation, automotive, manufacture, and food industry.

Given our broad areas of legal services under ITI, we have assisted diverse clients (both foreign and domestic) with different scope of businesses, objectives, and expected timing of completion.   1. A State Owned Enterprise company, engaging in money and security printing in which we assisted them in regards to corporate restructuring of their joint venture company amounting to over IDR 170 billion;
  2. A large group of companies established in Belgium, with regards to various transactions made in Indonesia, including establishing a foreign direct investment company, preparing transaction documents, and a set of other transactions related to the reorganization of the group;
  3. A joint venture business company between two Japanese Companies, with regards to several corporate transactions of the company, including the operational aspects, business licenses, expatriate and related labor issues;
  4. An Indian multinational automotive manufacturing company, with regards to the establishment and development of their business in Indonesia and to establish a foreign investment company in Indonesia engaged in the business of export, import, manufacture, assembly and wholesale distribution of vehicles in Indonesia and to neighboring countries;
  5. A company listed in the Malaysian Stock Exchange (Bursa Malaysia), engaging in agriculture, Information & Communication Technology (ICT), energy, food, property and power, on its acquisition plan through bond issuance;
  6. One of the world’s largest single-mine coal mining companies, acted as Indonesian legal counsel to a consortium of foreign and Indonesian principals in the acquisition of a company Group; 
  7. A pioneer of Sharia banks in Indonesia, with regard to its plan to divest its shares in through the secondary public offering in the Indonesian Stock Exchange, rights issue as well as private placement;
  8. One of the biggest Swedish company with regard to its day to day operational in Indonesia, as well as assisting in their corporate action, among others divestment transaction.
  9. A foreign manufacturer company, with necessary legal services in relation to trade policy, trade compliance, and import licensing procedures of certain forestry products and other related regulatory matters;
  10. Indonesian Ministry on its plan on renewal regulations of Special Economic Zone Regulations and assess the most suitable governmental body to be given authority on the Special Economic Zone in Indonesia;
  11. A foreign company acting as a creditor of an Indonesian company, in relation to the dispute on (i) undelivered pulp from the Indonesian companyto creditor and (ii) the Suspension of the Debt Payment (PKPU) Proceeding of the Indonesian company; 
  12. A private equity investment firm in relation to the divestment plan of its subsidiary (one of the largest Indonesian cinema companies) and assisting in the pre-initial public offering process of its major subsidiary.
