Our experience in domestic and cross border transaction in capital market sector and the role of our managing partner as the Head of Professional Standard Council of HKHPM of the Capital Market Lawyers Association (HKHPM) helps us develop creativity and workable solutions to our client in this sector. As a result, our firm has been entrusted by domestic and international public companies (as a joint lead underwriter, standby purchaser, global coordinator of initial public offering and so forth) for representing them in many diverse transactions.

We have been involved in a wide variety of capital market-related transactions, ranging from assisting the client in relation to the issuance of securities’ products, multi series bond (senior and subordinated bond) issuance transaction (conventional bonds and Islamic bond), underwriting the planned bond issuance, initial public offering ((listing at IDX) or international IPO, both international 144A or Reg S offerings), secondary public offering, rights issue (the works conducted include due diligence, prepare and review companies’ businesses and documents, provide advice on the IPO process), and investment plan in Indonesian public listed company.

  • Assisted a securities-related services’ provider based in the USA in understanding domestic regulations related to the issuance of securities’ products.
  • Assisting a shipping company in relation to its planned Initial Public Offering. The works conducted include due diligence, preparation of documents and providing advice on the IPO process.
  • As legal counsel to a local shipping company, an indirect subsidiary of one of the utmost marine-related services’ companies established in Malaysia, which mainly offers marine vessels transportation services to the energy sector, namely of coal as well as the oil and gas industry. We aim to provide the most promising legal services in relation to plans to conduct Rights Issue transactions and acquisition of well-known Indonesian and Singapore-domiciled companies
  • Advising an entertainment company in relation to its planned reorganization and initial public offering. The works conducted include due diligence, preparation of documents and providing advice on the IPO process
  • Advising an India’s largest private power utility group company, in relation to their investment in an Indonesian public listed company, focusing on certain corporate matters and compliance of capital market laws and regulations.
  • Assisted a securities-related services’ provider based in the USA in understanding domestic regulations related to the issuance of securities’ products.
  • Advised Indonesian financial institutions , in their capacities as the Joint Lead Underwriter, in relation to the Initial Public Offering of PT BW Plantation Tbk. The works conducted include preparation of documents, review of the companies’ businesses and documents.
  • We advised leading global financial services firms providing investment banking, securities, wealth management and investment management services on acting as a standby purchaser in relation to Rights Issue IV by the Indonesian bank.
  • We advised a Singapore company on acting as a standby purchaser in relation to the Rp40.1 trillion Rights Issue by the Indonesian company.
  • We were involved in the initial public offering of a state-owned company engaging in gas sector valued at more than Rp 2.5 trillion for 1,685,185,000 shares, consisting of 820,987,000 new shares and 864,198,000 existing shares owned by the Indonesian government (consisting of 475,309,000 existing shares, 194,444,500 red shoe shares, and 194,444,500 green shoe shares).
  • We were involved as legal counsel for an Indonesian company in its bond issuance transaction in 2009, consisting of conventional bonds and ijarah bonds.
  • We assisted banking and financial service provider companies in underwriting the planned IDR 1.65 trillion bond issuance by the Indonesian bankn, which bonds are listed at the Surabaya Stock Exchange.
  • We assisted banking and financial service provider companies in underwriting the planned IDR 1.5 trillion bond issuance by Indonesian company which bonds are listed at the Surabaya Stock Exchange.
  • We assisted banking and financial service provider companies in underwriting the planned IDR1.5 trillion bond issuance by the Indonesian bank, which bonds are listed at the Surabaya Stock Exchange.
  • We were involved in a IDR 1 trillion bond issuance by a major noodle producer in South East Asia, listed at the Surabaya Stock Exchange.
  • We were involved in the issuance of senior bonds amounting to IDR 1 trillion and subordinated bonds amounting to USD 100 million by a state owned company engaging in bank industry.
  • We acted as Indonesian legal counsel to a global coordinator in an IPO on the Singapore Stock Exchange of a foreign holding company that owns significant shipbuilding yard operations in Indonesia, which shares are offered internationally under the Reg S and 144 A regulations.
  • We were involved in a IDR650 billion multi series bond issuance by an Indonesian company, part of the business group of SUEZ Environment, in the business line of providing clean water, which bonds are to be listed at the Surabaya Stock Exchange.
  • We advised a foreign law firm in understanding domestic regulations related to the reporting obligations on capital market law.
