As a result, we have been trusted by domestic and international public companies to represent them in a range of diverse transactions including, as a joint lead underwriter, standby purchaser, and global coordinator of initial public offerings.

We have been involved in a wide variety of capital market related transactions, ranging from assisting the client in relation to the issuance of securities’ products, multi series bonds (senior and subordinated bonds) issuance transactions (both conventional and Islamic bonds), underwriting planned bond issuances, initial public offerings (with listings at IDX or international IPO, with both international 144A or Reg S offerings), secondary public offerings, rights issues (including due diligence, the preparation and review of companies’ businesses and documents, and providing advice on the IPO process), and investment plans in Indonesian public listed companies.

  • As a legal counsel for a venture capital company in relation to its Initial Public Offering (IPO);
  • Assisting a security related service provider based in the USA with domestic regulations related to the issuance of security products;
  • Assisting a shipping company in relation to its planned IPO. This included due diligence, preparation of documents and providing advice on the IPO process;
  • Giving legal counsel to a local shipping company, an indirect subsidiary of a major marine services company established in Malaysia, which offers coal, oil and gas transportation services to the energy sector. We provided legal services in relation to plans to conduct Rights Issue transactions and the acquisition of well-known Indonesian and Singapore-domiciled companies;
  • Advising an entertainment company in relation to its planned reorganization and initial public offering. The works conducted included due diligence, preparation of documents and providing advice on the IPO process;
  • Advising one of India’s largest private power utility group companies, in relation to their investment in an Indonesian publicly listed company, focusing on certain corporate matters and compliance with capital market laws and regulations;
  • Advising Indonesian financial institutions, in their capacities as the Joint Lead Underwriter, in relation to the Initial Public Offering of PT BW Plantation Tbk. The works conducted included preparation of documents, and review of the companies’ businesses and documents.
  • Advising leading global financial services companies providing investment banking, securities, wealth management and investment management services on acting as a standby purchaser in relation to Rights Issue IV;
  • Advising a Singapore company on acting as a standby purchaser in relation to the IDR 40.1 trillion Rights Issue by an Indonesian company;
  • Involvement in the initial public offering of a state-owned company engaged in the gas sector valued at more than IDR 2.5 trillion for 1,685,185,000 shares, consisting of 820,987,000 new shares and 864,198,000 existing shares owned by the Indonesian government (consisting of 475,309,000 existing shares, 194,444,500 red shoe shares, and 194,444,500 green shoe shares);
  • Providing legal counsel to an Indonesian company in its 2009 bond issuance transaction, consisting of conventional bonds and ijarah bonds;
  • Assisting banking and financial service provider companies in underwriting the planned IDR 1.65 trillion bond issuance by the Indonesian Bank, with bonds listed at the Surabaya Stock Exchange;
  • Involvement in an IDR 1 trillion bond issuance by a major Southeast Asian noodle producer, listed at the Surabaya Stock Exchange;
  • Involvement in the issuance of senior bonds amounting to IDR 1 trillion and subordinated bonds amounting to USD 100 million by a state owned company engaged in the banking industry;
  • Acting as Indonesian legal counsel to a global coordinator of the IPO on the Singapore Stock Exchange of a foreign holding company with significant ship yard operations in Indonesia, with shares offered internationally under the Reg S and 144 A regulations;
  • Involvement in a IDR 650 billion multi-series bond issuance by an Indonesian water company, part of the business group of SUEZ Environment, with bonds to be listed at the Surabaya Stock Exchange;
  • Advising a foreign law firm on domestic regulations related to the reporting obligations of capital market law;
