For M&A matters, our experience include handling various M&A transactions, from plain vanilla M&A transactions to mega or pioneer M&A transactions involving complex structures, multi parties, cross sectors, cross border and other various segments, representing either the seller or the buyer, privately held company or publicly listed company, equity based transaction or assets based transaction, in tender offering or direct sale; dealing with the relevant governmental agency or institutions including the Indonesia Capital Investment Coordination Board, Financial Services Authority, Indonesian Stock Exchange, Indonesian Central Securities Depository, Commission of Business Competition Supervisory, and other country’s government agency (such as SGX, CDP - Singapore Central Depository) for cross border M&A.

For restructuring matters, our assistance include but not limited to legal advice on restructuring strategy (asset, capital, debt, and company organization), buyouts as well as liquidation, suspension of debt payment obligations, and bankruptcy (representing either company or the creditors).

  1. Qatar company for telecommunication services. We have represented the company with respect to the acquisition of majority shares in Indonesian company, and subsequently assisted the client in their tender offer on the Series B Shares of the Indonesian company.
  2. A holding company for several toll road operators in Indonesia in the 2-steps acquisition of effective ownership in an Indonesian company, hold concession of Cikopo – Palimanan toll road, the longest toll road in Indonesia. The total transaction value is worth more than IDR 4 trillionand involves acquisition of equity and mezzanine loan. Our scope of works was, among others, legal due diligence on the documents of the target company and its subsidiary, providing legal advice on the transaction scheme and structure, and drafting conditional sales and purchase agreements and other supporting documents for the acquisition.
  3. Acted as Indonesian legal counsel to a consortium of foreign and Indonesian principals in the acquisition of one of the world’s largest single-mine coal mining companies.
  4. A pioneer of and the largest Sharia banks in Indonesia, with regard to its plan to divest its shares in through the secondary public offering in the Indonesian Stock Exchange, rights issue as well as private placement;
  5. A private equity investment firms on the divestment plan and assisting in the pre-initial public offering process.
  6. Indonesian company in acquiring the shares in an Indonesian company which its subsidiary has almost 5,000 ha of coal concession in Kapuas Tengah regency, in Central Kalimantan, in a transaction valued at more than USD 100 million.
